BOARD OF DIRECTORS MEETING

MINUTES

DECEMBER 18, 2007

1.        CALL TO ORDER

The regular meeting of the Arapahoe Estates Board of Directors Meeting was held at the 3383 E. Euclid Place.  Members in attendance:  Randal Martines, Ed Stack, Mindy Dunbar, Lynn Johnson, Lance Chayet, Jason McKesson and Lorelle Grazis. Linda Rohrenbach and David Robinson were unable to attend. Also present was Virginia Bray, Association Manager. 

Others Present:  Marcy Stuhlsatz, Tom Radow and Scott Krawiec.

2.   HOMEOWNERS OPEN FORUM

                      Owner Scott Krawiec asked question on the Financials. Virginia recommended that Scott make an appointment with Mike Weiss at LCM to discuss his questions.            

3.              APPROVAL OF MINUTES

A.    November 29, 2007 Board Meeting Minutes-It was motioned by Lynn Johnson and seconded by Mindy Dunbar (LJ/MD) and the motion carried (MSC) to approve the minutes as submitted.

4.              FINANCIAL REPORTS

1. November 30, 2007-It was MSC LJ/MD to accept the financials into the record.
2. Delinquencies-The Board reviewed the delinquencies and no action is necessary.     
3. 2006/07 Tax Preparation-Tabled for additional bids. 
4. Invoices were approved and checks were signed by two Board members.

5.        COMMITTEE REPORTS               

1. Architectural Applications

1.  Lance reported that he has spoken to Steve Pigott, the owner who lives on E. Euclid Place and owns a condominium at the Courtyard Estate HOA, about the Courtyard Estates owners wanting to join with Arapahoe Estates.  Lance asked that he be authorized to work with Steve and the Courtyard owners to determine if all of them wish to consider annexing and if so, to look into the legal process.  The Board authorized Lance to proceed.     

2. New Architectural Form and Guidelines-Virginia will send the one she prepared to Lorelle to put on the web site.

2. Landscape-No Action     
3. Communications-Web Site- Lorelle requested that Virginia send PDF files for the web site for financials and the ACC Form, and send the minutes in Word.
4. Owner Restated Amended Documents Committee Report

     Marcy Stuhlsatz reported that the committee is making progress on   the documents and Sections 7 & 8 is completed.  T next Committee   Meeting will be held on January 9^th at 3343 E. Euclid Place at 7:00 PM.  The town meeting that was scheduled for January 16^th will not          be held.  Virginia will arrange for a message that the January        meeting will be rescheduled included on the monthly statement to        owners

6.        MANAGERS REPORT

A.    Unfinished Business

1.     Restated Amended Governing Documents Project-It was MSC to approve re-scheduling the Town Meeting from January 16^th to February.

2.     2007/08-Budget on hold-Virginia will provide the Board with updated contracts for Landscaping, Snow Removal, Trash and Management for the budget process.

3.     Duplex-Virginia will obtain bids for the painting of the duplexes and townhouses for budgeting purposes.   

4.     Entrance Upgrades-Virginia will obtain bids for the updating of the entrances and for replacement of the railroad tie wall at E. Euclid and Arapahoe Road using decorative block like the fence pillars.

           D.       Executive Session

                      The Board met in Executive Session to discuss pending legal issues.

7.        NEXT MEETING DATE AND ADJOURNMENT

The next regular Board Meeting will be held on in January 15^th the Salvation Army Chapel if a room is available.   There being no further business before the Board,

the meeting adjourned at 8:30 PM.
